Bylaws of The Dark Ones
- The following shall serve to define terms used throughout these bylaws: ( Aug 9'94)
- Resolution, "A decision serving to regulate a portion of the organization within the parameters set by the bylaws, but which has not been incorporated into any governing instrument of the organization."(Jan 18 2003)
- Black Line, "The number or percentqage of black votes needed to cause a vote to go black." (Aug 20’94)
- Ex-officio, "Being a member of an organization of officer by right of a position or office held." (Aug 9'94)
- Fortnight, "A period of time encompassing fourteen consecutive days." (Aug 9'94)
- Guideline, "A governing instrument serving to regulate a portion of the organization within the parameters set by the bylaws." (Aug 9'94)
- Member, "A member of The Dark Ones, Inc., except where 'member' is followed by 'of the' in which case it specifically refers to a member of the organization or committee listed thereafter." (Aug 9'94)
- Quorum, "In any vote, a quorum is the smallest percentage of the entire number of votes available to be cast which must be held by the individuals present when the vote is cast in order to cast the vote. If a smaller percentage is present than the quorum specifies, the vote cannot be cast. A quorum is generally expressed as a percentage or as a fraction." Aug 9'94
- Sennight, "A period of time encompassing seven consecutive days."
- Active Status, "A status conferred upon a member showing a sufficient level of activity within the group has been met and maintained to allow said member to hold voting privileges. Active status may also be used as a prerequisite for holding certain offices within the group." (Jan 18 2003)
- Inactive Status, "A status conferred upon a member showing a sufficient level of activity within the group has not been maintained to allow said member to hold voting privileges. A member holding inactive status is said to have lost their active status." (Jan 18 2003)
- Retired Status, "A status conferred upon a member when said member has indicated intent to disassociate with the group. Retired members are not to be contacted by the group, but may return of their own volition." (Jan 18 2003)
- Voting Proxy, "The transference of voting power from one member to another. Also known simply as proxy." (Jan 18 2003)
- Event Proxy, "The use of an Event office to stand in lieu of attending a meeting for the purpose of satisfying activity requirements." (Jan 18 2003)
- Interpretation of these bylaws, and the amending , adopting or repealing thereof, shall follow certain criteria. Jan 18 2003
- It is not the intent of these bylaws to discriminate, nor to encourage discrimination, for or against any individual, entity or member on the basis of race, creed, culture, gender, sexual preference, religion, physical handicap, skin color, or place of birth. Aug 20’94
- Care is advised in the amending, adopting or repealing of bylaws. Aug 20’94
- The bylaws shall not provide differently for individuals of different race, creed, culture, gender, skin color, religion, sexual preference, or place of birth. Aug 20’94
- The bylaws will often detail specific actions on the parts of members. If a physical handicap makes such actions impossible, alternate actions may be specified by The Oligarchy in keeping with the spirit of the bylaws. Aug 20’94
- Neither this bylaw, nor any bylaw specifying required quorums
[or required blacklines]
of The Oligarchy, the members, or committees shall be adopted, amended or repealed without a unanimous vote of the entire Oligarchy. Aug 03’94[Jan 18 2003]
- As may occur from time to time that the strict adherence to the letter of a bylaw should actually be contrary to the intent of said bylaw, the intent should, at times, be allowed to hold precedence. June 6, 1998
- A member’s status shall be used to determine if that member has a vote on Dark One’s issues. Jan 18 2003
- A member holding active status shall have a vote on member issues, and whatever votes held by right of offices or positions held within the Dark Ones, on whatever issues those offices or positions may come to vote upon. Jan 18 2003
- A member who has lost active status is not entitled to vote on any issue within the Dark Ones. Jan 18 2003
- It shall be determined at the end of each General meeting which members holding active status have lost their active status. Jan 18 2003
- A member holding active status shall be considered to have lost that active status if said member: Jan 18 2003
- did not attend the current General meeting in person or by vote proxy or event proxy, or Jan 18 2003
- attended the current General meeting and the immediately preceding General meeting by vote proxy only, or Jan 18 2003
- attended the current General meeting and the immediately preceding General meeting by event proxy only. Jan 18 2003
- A member may voluntarily lose their active status at any time by providing written notice to the Oligarchy of their intention to do so. Jan 18 2003
- It shall be determined while taking attendance at each General meeting which members who have lost their active status have regained that status. Jan 18 2003
- A member who has lost their active status shall be considered to have regained that status if said member: Jan 18 2003
- is in attendance in person at the current General meeting, and Jan 18 2003
- was in attendance in person at the immediately preceding General meeting. Jan 18 2003
- A member who has voluntarily lost their active status must submit by written notice to The Oligarchy their intent to regain their active status, and must also fulfill the requirements of section a. Jan 18 2003
- There shall be a prescribed method for casting votes. Jun 04’93
- Each person entitled to vote shall be given a number of black stones equal to the number of votes entitled to be cast by that person, and also given a like number of white stones. Two bags shall be passed amongst those persons voting. One bag shall represent the proposal, or one of the two choices. The other bag shall represent the rejection of the proposal, or the other of two choices. The black stones represent a ‘yes’ vote. The white stones represent a ‘no’ vote. After persons voting have dropped their stones into the appropriate bag, that person who is left holding the bag shall deposit the contents of the first bag into a container, such as a bowl, and announce the outcome. The second bag shall then be emptied to verify the results. Jun 04’93
- A vote that goes black is a vote

- There shall be an alternate method for casting votes. Aug 9'94
- This method shall entail collecting votes by a show of hands. Aug 9'94
- This alternate method is not available for those votes specified in the bylaws as needing to be cast in stone. Aug 9'94
- To use the alternate method to vote on an issue, an individual entitled to vote on that issue must request the alternate method of voting. Then a show of hands is requested of those individual also entitled to vote on said issue to ascertain who also wishes to use the alternate method. If a majority wish to do so, the issue shall be voted on using the alternate method. Aug 9'94.
- No member, entitled to vote on any issue within The Dark Ones, shall be allowed to give their proxy to any individual or entity

which does not also have a
vote on that issue

- On votes of the members, votes of those members who abstain by absence or by providing an abstention vote shall be denoted as gray votes.
If in the vote, there are more black votes than white votes, the gray votes shall be looked at as black votes. If there are more white votes than black votes, the gray votes shall be looked at as white votes. If there are an equal number of white votes and black votes, the gray votes shall not change this equality. Aug 20’94

In this way, the entire number of Dark Ones shall be used to determine the black line of a vote of the members. Aug 20’94
- In all cases the number of white, black, and gray votes shall be recorded. Aug 20’94.
- A quorum of The Oligarchy shall consist of one-half of The Oligarchy members, except on those issues where a different number is specified by these bylaws. Aug 03,’94
- Bylaws detailing voting matters related to specific issues shall be found in the appropriate sections. Oct 01,’94
- There shall be two classes of membership: That of the Dark Ones Associates, being
a non-voting class of membership

and that of the Dark Ones, being

- Individuals who are not members of the Dark Ones may become Dark Ones Associates. Jan 18 2003
- To become a Dark Ones Associate, a prospective member must first obtain a sponsor. June 6, 1998
- The sponsor must be
a Dark One or a Dark Ones Associate
[a member holding active status ]
and be willing to sponsor the prospective member. June 6, 1998[Jan 18 2003]
- Upon the agreement of the requested individual to be the sponsor, the prospective member is considered sponsored by that individual. At this time the sponsor is to notify the Oligarchy of the sponsorship in writing. June 6, 1998
- The sponsor may then request, in writing, that an opinion poll be taken about the prospective member. June 6, 1998
- The Oligarchy, or its duly appointed representative, shall then make a reasonable effort, over the ensuing fortnight, to acquire the opinion of each member. June 6, 1998
- At the end of this time, The Oligarchy shall review the opinion poll and shall give to the sponsor, in writing, a recommendation as to the probable length of sponsorship, and the earliest date a vote should be taken on the prospective member. June 6, 1998
- The sponsor may request any reasonable number of opinion polls. For this purpose, ‘reasonable’ is loosely defined as ‘such quantity as is needed to responsibly monitor the progress of the sponsorship’. June 6, 1998
- The sponsor may then request The Oligarchy to vote on the prospective member. June 6, 1998
- This request must be made in writing and must be made no less than

- The choice of which event shall be at the discretion of the sponsor and in accordance with the recommendation. June 6, 1998

- A vote of the members shall be taken and a meeting held for such purpose prior to the vote of the Oligarchy. Members who are absent and without proxy shall have their opinion taken from the poll and used as their vote. Jan 18 2003
- [If, and only if, the majority of this vote is black, the matter shall be brought before The Oligarchy at the scheduled time of the vote. At that time,]

The Oligarchy shall review the opinions. They shall then allow the sponsor a brief discourse on behalf of the prospective member. The prospective member shall be allowed same. The vote shall then be cast. On a unanimous vote of the entire Oligarchy, the prospective member shall then be a Dark Ones Associate. June 6, 1998[Jan 18 2003]
- The fee for becoming a Dark Ones Associate shall be five dollars and one silver coin, as approved by The Oligarchy. June 6, 1998
- The vote shall be cast in stone. June 6, 1998

This section may apply to DOA’s that achieved said status of membership prior to ratification of this bylaw, and this section (3) shall be repealed five years after the aforementioned date. Jan 18 2003
- To become a Dark One, a prospective member must be a Dark Ones Associate. Jun 04’93
- The prospective member must then obtain a sponsor. June 6, 1998

A DOA may become a Dark One after 5 years of membership. Jan 18 2003
- The DOA must submit, in writing, to the Oligarchy notification of their intent to change class to Dark One. This document must carry a live signature. Jan 18 2003
- This notification must be submitted not less than two fortnights prior to the scheduled event at which the Oligarchy is to make announcement of said change in class. Jan 18 2003
- The DOA in question must meet with the Oligarchy before said event, and must be physically present at a normally scheduled announcement period during the said event. Jan 18 2003
- The fee for becoming a Dark One shall be twenty dollars and one silver coin, as approved by The Oligarchy. Jun 6, 1998
- A member may be removed by being unsponsored.
- To do this a
{member holding active status}
Dark One
must declare [in writing] the intent to unsponsor a member. On a unanimous vote of the entire Oligarchy, the unsponsored member shall be removed from the organization, and all membership of said member shall be revoked. Jun 04’93 [Aug 20’94]{ Jan 18 2003}
- The vote shall be cast in stone. Aug 20’94.
- If any member of the Dark Ones wishes to surrender membership of their own free will, said member must notify The Oligarchy in writing of their intent. The Oligarchy will then accept the resignation, relegating them to retired status. Member’s legal data will be transferred to the Inactive list. However, said retired member shall be welcome to return at any time. Sep 12’96
- An Oligarchy member may take a leave of absence by providing notice in writing no less than one fortnight in advance.
- The leave of absence may be no less than thirteen fortnights and a day in duration and shall end upon written notice to return
[from the leave of absence. Such notice must be]

- If a leave of absence is taken within thirteen fortnights of the end of the term of the Oligarchal seat, or written intent to return
[from the leave of absence]

has not been provided more than a fortnight before the end of the term of the Oligarchal seat, it shall be taken as an intent to resign from The Oligarchy. Aug 20’94[Jan 18 2003]
- During the leave of absence the seat shall be filled by a
[member holding active status]
Dark One
, having been selected in the same manner as that prescribed in selecting The Seneschal. Aug 20’94[Jan 18 2003]
- An Oligarchy member who loses active status is considered to have provided proper notice to take a leave of absence effective at the general meeting at which active status is lost. If time permits, the seat may be filled at that same general meeting. Jan 18 2003
- Oligarchy members shall have the right to postpone, for a period of one fortnight, The Oligarchal vote on an issue or the discussion of any issue at an Oligarchy meeting. However, issues previously subject to such postponement are not eligible for further postponement in this manner. Jun 04’93
- The Seneschal shall, as an ex-officio member of The Oligarchy, have incidental powers granted by the Bylaws. Aug 09’94
- The Seneschal shall have the power to call Oligarchy meetings and shall bear the responsibility to do so. Such responsibility shall include notifying the Historian of the meetings for the purpose of recording minutes or, if this is not possible, notifying the Historian of the meeting in a timely manner and making provisions to have minutes taken at the meeting. - Only a member holding active status may be The Seneschal. Jan 18 2003
- The Exchequer and the Historian shall each have an internal set of guidelines governing their operation. These guidelines shall not be inconsistent with the bylaws nor any instrument restricting the bylaws. The power to amend, adopt, or repeal guidelines of these committees shall be vested in the committee the guidelines govern, provided there exists at least three members on that committee entitled to vote on that committee's matters. - Guidelines not withstanding, the Historian shall be restricted as follows: Aug 09’94
- One member of the Historian shall be the head of the Historian, hereafter known as The Historian. Aug 09’94
- The term of office of The Historian shall be no less than thirteen fortnights and a day. Aug 09’94
- There shall be no more than five members on the Historian, exclusive of ex-officio members. Aug 09’94
- Proposed members of the Historian must pass the approval of the Oligarchy to become a member of the Historian. Aug 09’94
- Removal of a member from the Historian must pass the approval of the Oligarchy before that member may be removed from the Historian. Aug 09’94
- Unless the Historian guidelines provide otherwise, the following bylaws shall govern the Historian: Aug 09’94

- Each member of the Historian shall receive one vote on votes cast by the Historian. An extra half vote shall be given to The Historian. Aug 09’94
- Proposed members of the Historian must obtain a majority vote of the Historian to become a member of the Historian. Aug 09’94
- Removal of a member from the Historian must pass a majority vote of the Historian, exclusive of the member in question, before that member may be removed from the Historian. Aug 9’94.
- Guidelines not withstanding, the Exchequer shall be restricted as follows: Aug 09’94
- One member of the Exchequer shall be the head of the Exchequer, hereafter known as the Hand of The Exchequer. Aug 09’94
- The term of office of the Hand of The Exchequer shall be no less than thirteen fortnights and a day. Aug 09’94
- There shall be no more than three members on the Exchequer, exclusive of ex-officio members. Aug 09’94
- Proposed members of the Exchequer must pass the approval of the Oligarchy to become a member of the Exchequer. Aug 09’94
- Removal of a member from the Exchequer must pass the approval of the Oligarchy before that member may be removed from the Exchequer. Aug 09’94
- The Exchequer is enjoined from committing to any expenditure or potential expenditure in excess of non-committed cash and accounts receivables, with the exception of Oligarchy approved deposits, without the express consent of the Oligarchy. Jul 18,96
- Unless the Exchequer guidelines provide otherwise, the following bylaws shall govern the Exchequer: Aug 09’94

- The term of office of the Hand of The Exchequer shall be thirteen fortnights and a day. Aug 09’94
- Each member of the Exchequer shall receive one vote on votes cast by the Exchequer. An extra half vote shall be given to the Hand of The Exchequer. Aug 09’94
- Proposed members of the Exchequer must obtain a majority vote of the Exchequer to become a member of the Exchequer. Aug 09’94
- Removal of a member from the Exchequer must pass a majority vote of the Exchequer, exclusive of the member in question, before that member may be removed from the Exchequer. Aug 9’94.
- The Exchequer and the Historian shall be required to create guidelines specifying quorums. Aug 20’94.
- The Event Director shall be an Oligarchal committee comprised solely of one or more Oligarchy members. The Event Director shall have the power to stand in the stead of The Oligarchy on matters concerning the planning and organization of Dark One’s events, except where the Oligarchy specifically intervenes, and in such instance, The Oligarchy’s decision shall hold precedence. - For each event there shall be a committee, known as the Event Coordinator, charged with the executive responsibilities of said event. The committee shall be comprised of one, two, or three individuals all of whom must be members and all of whom shall be appointed by the Event Director. Aug 9’94
- When an Event Coordinator is comprised of one individual, that individual shall be an ex-officio member of the Historian and of the Exchequer, and shall be answerable to the Event Director concerning the event. Aug 9’94
- When an Event Coordinator is comprised of two individuals, one shall be an ex-officio member of the Historian and shall be charged with the secretarial responsibilities of the event. The other individual shall be an ex-officio member of the Exchequer and shall be charged with the financial responsibilities of the event. One of the two shall be deemed the Head of the committee and shall be answerable to the Event Director concerning the event. Aug 9’94
- When an Event Coordinator is comprised of three individuals, one shall be an ex-officio member of the Historian and shall be charged with the secretarial responsibilities of the event. Another shall be an ex-officio member of the Exchequer and shall be charged with the financial duties of the event. The third shall be deemed the Head of the committee and shall be answerable to the Event Director concerning the event. Aug 9’94
- The term of existance of each Event Coordinator shall be set by the Event Director and determined using the following schedule as a reference: Aug 9’94
- One: Movies One Sennight prior to and until the end of the movie. Aug 9’94
- Two: Meetings Two fortnights prior to and until the day the event. Oct 01’94
- Three: One guest parties (Heavy Theme)Four fortnights prior to and until the day after the event. Oct 01’94
- Four: Five guest parties (Moderate Theme) Seven fortnights prior to and until the day after the event. Oct 01’94
- Five: Attending Convention (Informal Gathering) Eight fortnights prior to and until one sennight after the event. Oct 01’94
- Six: Attending Convention (Party) Twenty six fortnights prior to and until two fortnights after the event. Oct 01’94
- Seven: DarkCon Fifty two fortnights prior to and until two fortnights after the event. Oct 01’94
- Eight: All Others At the discretion of the Event Director. Oct 01’94
- The guidelines of the various committees must be brought before The Oligarchy within one fortnight of each general meeting. A special meeting of The Oligarchy shall be held during this time for this purpose, and any other purpose The Oligarchy shall deem appropriate.
- A general meeting of The Dark Ones shall be held within the first two fortnights of each calendar year. June 6, 1998
- If no date is specified the meeting shall be held on the third Saturday of the calendar year. June 6, 1998
- The Oligarchy may schedule additional meetings as needed. June 6, 1998
- A member may attend a General meeting by Event Proxy. Jan 18 2003
- The purpose of an Event Proxy shall be solely to fulfill a member’s attendance requirements with regards to retaining their active status. Jan 18 2003
- An Event Proxy does not confer, transfer, relinquish, grant nor in any way restrict or alter the vote allowed by the member subject to such a proxy. Jan 18 2003
- It is permissible for a member to proxy their vote at the same General meeting at which an Event Proxy is submitted for them. Jan 18 2003
- A member is eligible for an Event Proxy if: Jan 18 2003
- Said member is physically absent from the current General meeting, and Jan 18 2003
- Said member has held office on an Event Coordinator of a major event in the 26 fortnights preceding the current General meeting, and Jan 18 2003
- Such office has not already been held as an Event Proxy for any other General meeting, and Jan 18 2003
- Such event has been concluded prior to the current General meeting. Jan 18 2003
- It shall be the Event Director’s responsibility to declare such a proxy when applicable. Jan 18 2003
- Such declaration shall be made during the taking of attendance at each General meeting. Jan 18 2003
- If a member is eligible by more than one office, the Event Director shall use the office most past, so as to favor the member’s eligibility at future General meetings. Jan 18 2003
- Notification must be made to the Historian of the appointment of any officer. Failure to do so on the part of the appointing entity may result in the nullification of the appointment until notification is made.
- There shall be a set of questions to be asked on opinion polls:
- _______ wants to make _______ a D.O.A.. Do you think it is too soon to make _________ a D.O.A. NOW.
- If ‘No’ then: So you think _________ should be made a D.O.A. today, correct?
- If ‘Yes’ then: Which of our upcoming events do you think would be most appropriate to make ______ a D.O.A.?
- If ‘None’ or similar answer: Do you think ______ should be made a D.O.A. within the next year?
- The power to alter, amend or repeal the bylaws or adopt new bylaws shall be vested solely in the Oligarchy, with the exception of the power to repeal bylaws or repeal alterations of bylaws, which shall be held by a quorum of the voting members. June 6, 1998
- The meeting of such a quorum is to equal or exceed two-thirds of the entire voting class membership. June 6, 1998
- Such a meeting must be a notified meeting. To satisfy the requirements for a notified meeting; June 6, 1998
- A reasonable attempt must be made to notify the voting membership. June 6, 1998
- The Oligarchy must also be notified in writing, not less than one fortnight in advance. June 6, 1998
- As with all other Dark Ones meetings, the Event Director must be notified not less than one fortnight in advance so that the Event Director may assign a Event Coordinator in a timely fashion. June 6, 1998
- The Blackline to repeal bylaws or to repeal alterations of the bylaws must be a unanimous vote of the attending quorum of such a meeting. June 6, 1998
- Only bylaws altered or adopted within the twenty-six fortnights preceding the meeting date shall be subject to repeal under this section. June 6, 1998
- Decisions made by the Dark Ones or a committee within the Dark Ones, which are neither incorporated into the governing instrument of that committee, nor into the bylaws shall act as resolutions. Jan 18 2003
- Resolutions shall be limited in their duration. Jan 18 2003
- Resolutions that do not include an explicit end date shall end at the close of the fiscal year in which they were created. Jan 18 2003
