Articles of Incorporation

of

The Dark Ones, Inc.

Know all persons by these presents

   That We, the undersigned, have this day associated ourselves together for the purpose of forming a nonprofit corporation under and pursuant to the laws of the State of Arizona and for that purpose do hereby adopt these Articles of Incorporation.

The Dark Ones, Inc.

The term of the corporation shall be

One Millenium

The purpose for which this corporation is organized is the transaction of any or all lawful business for which a nonprofit corporation may be incorporated under the laws of the State of Arizona as they may be amended from time to time.

The character of affairs of The Dark Ones, Inc. shall be

1: The expression and exploration of various cultural themes including, but not limited to, The Dark Ages and the Renaissance through forms of art including, but not limited to, painting, drawing, writing, photography, spoken word and acts of characterization.

2: The encouragement of consangineous relations between members and the provision of emotional and social support neccessary for the enrichment of the lives of the members.

No part of the net earning of the corporation shall inure to the benefits of, or be distributable to, its members, directors, officers, or other private persons, except that the corporation shall be authorized and empowered to pay reasonable compensation for services rendered and to make payments and distributions in furtherance of the purposes set forth in Article IV. No substantial part of the activities of the corporation shall be the carrying on of propaganda, or otherwise attempting to influence legislation, and the corporation shall not participate in, or intervene in (including the publishing or distribution of statements,) any political campaign on behalf of any candidate for public office. Notwithstanding any other provision of these Articles, the corporation shall not carry on any other activities not permitted to be carried on by a corporation exempt from Federal Income Tax under section 501c(10) of the Internal Revenue Code of 1986(or the corresponding provision of any future United States Internal Revenue laws.

Upon dissolution of the corporation the Board of Directors shall, after paying or making provision for the payment of all liabilities of the corporation, dispose of all its assets exclusively for the purpose of the corporation in such manner, or to such organizations organized and operated exclusively for charitable, educational, religous or scientific purpose as shall at the time qualify as an exempt organization or organizations under section 501(c)(3) of the Internal Revenue Code of 1986 (or the corresponding provision of any future United States Internal Revenue Laws) as the Board of Directors shall determine. Any such assets not disposed of shall be disposed of by the Superior Court of the county in which the principal office of the corporation is then located, exclusively for such purpose or to such organization or organizations, as said Court shall determine, which are organized and operated exclusively for such purpose.

The initial Oligarchy Members shall serve a full term of office. The Oligarchy Members must be voting class members.

The President, hereafter known as The Seneschal, shall be an ex officio member of The Oligarchy. No other powers shall be vested in The Seneschal, and all other powers generally associated with this position shall instead be vested in The Oligarchy. The Seneschal must be a voting class member.

The Treasurer, hereafter known as The Exchequer, may be a committee, yet must be comprised soley of members, one of which must be a voting class members.

The Secretary, hereafter known as The Historian, may be a committee, yet must be comprised solely of members, one of which must be a voting class member.

The term of office;

of The Oligarchy Members shall be one century.

of The Seneschal shall approximate thirteen fortnights and a day.

of any class of member shall be perpetual. There shall be no more than one fee for any term.
